A U.S. entity may make sense when most customers, employees, assets, or operations will be in Texas. A Mexican entity may better support substantial operations in Mexico. Some businesses ultimately need entities in both countries.

The decision should account for liability, taxes, ownership, management, financing, and where the company will actually conduct business.

Should You Form Your Business in the United States or Mexico?

Start with the purpose of the expansion.

A Mexican company entering the Greater Houston market may need a U.S. entity to enter contracts, hire employees, lease property, open accounts, or establish a local operating presence. A Texas company building substantial operations in Mexico may have similar reasons to establish a Mexican entity.

The location of the parent company alone should not determine the answer. Consider where the new operation will generate revenue, employ people, own property, sign contracts, and face potential liabilities.

Those practical questions can help narrow the available structures before tax and legal advisors evaluate the details.

What Business Structures Are Common in the United States?

For businesses expanding into Texas, the limited liability company (LLC) is a common choice. An LLC generally provides liability protection for its owners while offering flexibility in ownership and management. It can work well for closely held companies, real estate ventures, and many operating businesses.

A corporation provides another option. Corporations have a more formal governance structure involving shareholders, directors, and officers. They may appeal to companies anticipating certain types of investment, ownership arrangements, or future transactions.

Choosing between them involves more than liability protection. Management preferences, financing plans, tax treatment, and the relationship with an existing foreign parent can all influence the decision.

What Business Structures Are Common in Mexico?

Mexico also offers several entity structures.

One commonly used form is the Sociedad Anónima de Capital Variable (S.A. de C.V.). At a high level, it is a limited-liability corporate structure with shareholders and a more formal governance framework.

Another option is the Sociedad de Responsabilidad Limitada de Capital Variable (S. de R.L. de C.V.), a limited-liability entity that generally offers greater flexibility in structuring ownership and governance.

The names may invite comparisons with U.S. corporations and LLCs, but the entities are not interchangeable. Mexican corporate law, governance requirements, tax treatment, and ownership rules need to be considered independently.

How Do Liability, Control, and Taxes Affect the Decision?

Three considerations often play an important role in choosing a cross-border structure.

Liability. Business owners typically want to separate company obligations from their personal assets and, in some cases, isolate risks associated with operations in another country. The entity structure can help establish those boundaries.

Control. Consider who will own the new operation and who will make decisions. A subsidiary owned by an existing company creates a different relationship than a new entity owned directly by individual founders or investors.

Taxes. Entity selection can affect how income is taxed and how payments move between related companies. A structure that works well under one country’s laws may receive different tax treatment in the other. Cross-border tax advice should therefore be coordinated with the legal structure before the entity is formed.

Does Your Company Need an Entity in Both Countries?

Sometimes. A company with meaningful operations on both sides of the border may use separate U.S. and Mexican entities under a parent-subsidiary or another coordinated structure. This can help distinguish operations, contracts, employees, assets, and liabilities in each country.

Creating multiple entities also adds administrative, tax, governance, and compliance responsibilities. More entities do not automatically create a better structure.

The business case for each entity should be clear.

Look Beyond Formation to How the Business Will Operate

Entity selection is only the beginning. Companies should also consider how the U.S. and Mexican operations will interact after formation.

Questions may include which company will employ personnel, own intellectual property, hold real estate, sign customer and supplier contracts, receive revenue, or provide services to an affiliated company.

Financing and future plans matter as well. A company expecting outside investment, an acquisition, or an eventual sale may make different structural decisions than a closely held business entering a neighboring market.

Thinking through these issues before formation can prevent a structure from becoming difficult to manage as expansion grows.

Talk to a Houston Corporate Lawyer

San Miguel Attorneys P.C. has a bilingual, bicultural team with attorneys licensed in both the United States and Mexico.
